By accessing or using Seedling, including our iOS app, Android app, or web app (collectively referred to as the "App"), you acknowledge and agree to be bound by these Terms & Conditions. In these Terms & Conditions, "Seedling," "we," "us," or "our" refers to Seedling Inc. and its subsidiaries and affiliates. Your continued use of the App constitutes your acceptance of these Terms & Conditions in their entirety. If you do not agree with any part of these Terms & Conditions, please discontinue using the App immediately.
As a user of Seedling, you are responsible for all activities carried out through your account. If you interact with the App using automated tools, crawlers, robots, data mining techniques, or any other functionality, you are deemed to be bound by these Terms & Conditions. Should you disagree with any aspect of these Terms & Conditions, you must cease using the App and its services.
Seedling offers comprehensive meal tracking features tailored to your preferences. By subscribing to our services, you gain access to personalized meal tracking capabilities, enabling you to manage your calorie intake efficiently.
You have the option to cancel your subscription within 2 hours of placing the order, allowing you to receive a refund. Additionally, after receiving your first delivery, you can temporarily pause your subscription and resume it at a later date, provided it falls within one year of the initial subscription date.
Our team is dedicated to delivering your orders promptly. However, certain circumstances may prevent successful deliveries, including delivery outside our designated times or zones, inclement weather, dangerous driving conditions, delivery to minors, or public establishments. If your order cannot be delivered due to an inaccurate address provided by you, you will still be charged for the order.
To ensure seamless deliveries, Seedling collaborates with third-party delivery services ("Delivery Services"). When you place an order, we will share necessary information, including your name, address, contact details, and order details, with the Delivery Services to facilitate the smooth delivery of your order. Additionally, we may provide feedback you've shared regarding the Delivery Services to aid in enhancing their service quality.
In the rare event that an item you ordered is out of stock, we will promptly inform you and offer the opportunity to select a suitable replacement. If you choose not to designate a replacement, we will remove the original item from your order, and you will not be charged for it. If none of the items in your order are available, we will notify you that your order has been cancelled.
We are thrilled to offer you the convenience of weekly or monthly subscription plans, ensuring you receive a specified number of delicious and nutritious meals each day. Our subscription fees are based on the number of meals you choose, and you can find the pricing details on the order page.
Please note that all prices displayed on the App are subject to change without prior notice. The current price visible on the App at the time of your subscription will supersede any previous prices for the same product or plan. From time to time, we may offer promotional pricing, discounts, incentives, and loyalty rewards at our discretion. These alternative pricing structures may vary for different subscription plans and customers. We reserve the right to modify or discontinue any promotional offers without prior notice.
Upon registering for a subscription plan, you authorize Seedling or our third-party payment processor to charge your account in advance for the weekly or monthly subscription, along with any applicable taxes or charges, for the duration of your subscription. Please note that all plans are continuous subscriptions, and your subscription will continue until you decide to pause or cancel it, or if we suspend or terminate your account.
As a valued subscriber, you have the flexibility to pause or cancel your subscription plan whenever necessary. You can easily do this by accessing the options provided in the App or by contacting our support team at subscription@seedling.app. Please remember that you are responsible for any meals ordered before the pausing or cancellation of your subscription. Even after pausing or canceling your subscription, you may receive marketing and promotional materials unless you choose to opt-out by following the unsubscribe instructions provided.
If you decide to cancel your subscription, please be aware that Seedling is not obligated to refund any amount paid prior to the cancellation. In some cases, if you have pre-ordered two days ahead and cancel your order on the day of delivery, we may, at our discretion, provide the credited amount in Seedling credits instead of a direct refund to your account.
Periodically, we may run exciting promotions or contests where you can win food items, merchandise, and more. By participating in these contests, you agree to abide by the specified Terms & Conditions. Any violations of these rules may lead to disqualification. Please note that we do not provide any warranties or guarantees, express or implied, with respect to these contests.
At Seedling, we provide nutritional information for informational purposes only. Any weight loss or health results mentioned on the App, whether by Seedling or others, are not guaranteed, and individual results may vary. We do not make any express or implied claims that you will achieve specific results through our subscription service.
For personalized dietary advice, we recommend consulting a physician or dietary consultant before starting any dietary program to ensure it aligns with your specific needs. Seedling's subscription plans are not medically-supervised. We do not suggest or claim that our programs are approved for individual use by medical professionals.
Please note that while we strive to provide accurate and useful nutritional information, we do not guarantee its accuracy, completeness, or usefulness for any subscription plan. Seedling does not adopt, endorse, or accept responsibility for the accuracy or completeness of any nutritional information provided.
At Seedling, we provide a seamless shipping and handling process to ensure your meals are delivered promptly and efficiently. By making a purchase, you agree to pay the specified shipping and handling charges displayed at the time of purchase. Please note that we may adjust these charges periodically, and any changes will be communicated to you before completing your purchase. Shipping is typically managed by a reliable third-party courier.
Once the meals are delivered to your designated address, ownership and the risk of loss pass on to you. It is essential to properly inspect and take responsibility for the safe preparation and storage of the meals after delivery. Please refrain from obtaining or directing shipment of meals for export purposes.
Delivery to Residential and Business Addresses
To receive shipments, you must reside in a residential apartment or home. If you wish to receive deliveries at a business address, you must seek permission from your employer or business owner.
In the event of inclement weather or unforeseen circumstances beyond our control that impede timely delivery, we will make every effort to deliver your order as soon as reasonably possible. If timely delivery becomes unfeasible, we may cancel the affected meal delivery and provide a credit or refund for the purchase price of that particular meal delivery.
Upon delivery, it is your responsibility to inspect all meals for any damage or issues. Ensuring the freshness of the meals you receive is solely your responsibility. For optimal quality, we recommend refrigerating all perishable items immediately upon delivery or purchase, following the guidelines provided by the U.S. Department of Agriculture (USDA) on refrigeration and food safety. Additionally, it is advisable to use a food thermometer to cook meat, poultry, seafood, and other applicable items to the recommended internal temperatures by the USDA. Failure to follow proper food handling practices may increase the risk of foodborne illness. For at-risk groups such as pregnant women, young children, the elderly, and individuals with compromised immune systems, adhering to the U.S. Food and Drug Administration's (FDA) recommendations on food consumption is essential.
Please be aware that all our production facilities handle ingredients containing major food allergens determined by the U.S. Food and Drug Administration (FDA), including but not limited to milk, egg, soy, fish, shellfish, peanuts, tree nuts, and others. While we take precautions to minimize the risk of cross-contamination, it may unintentionally occur during production and transit, leading to meals containing allergens. In case of any allergic reactions or adverse health events, contact your healthcare provider immediately. Nutritional information may vary due to the variable nature of ingredient availability.
Seedling may allow you to order products, information, and services from third-party entities not owned or operated by Seedling. In such cases, Seedling acts solely as a link between you and these third parties. Any transactions, warranties, guarantees, deliveries, maintenance, or other matters concerning merchandise, services, and information from these third parties are subject to their respective customer agreements and policies. Seedling does not provide any representations or warranties, express or implied, regarding the products, services, and information received from third parties. It is your responsibility to address any issues directly with the third parties. Seedling's availability of these products, information, and services should not be seen as an endorsement of the third parties or their offerings.
Upon registering for a subscription plan, you authorize Seedling or our third-party payment processor to charge you for your weekly subscription plan, including taxes, delivery fees, and other applicable charges, in advance for the duration of your subscription. All plans are continuous subscription plans and will continue until you cancel or we suspend or terminate your account. Payments will be automatically charged on the day the order is shipped.
We provide flexibility for you to manage your orders. You can pause your order, skip a delivery, reschedule a delivery, or edit your meals at any time before midnight (12:00 AM) on the day before your scheduled shipping. After this time, no cancellations, skips, rescheduling, or changes of any kind can be made. For example, if your order is scheduled for Tuesday delivery, you can make changes up to 11:59 PM on Sunday.
All right, title, and interest in the Seedling App, including all copyrights, patents, trade secrets, trade dress, and other proprietary rights, as well as any derivative works thereof, shall solely and exclusively belong to Seedling or its licensors. Your use of the Seedling App does not grant you any ownership interest in the App, in whole or in part.
All content provided on the Seedling App, including recipes, meal planners, guides, shopping lists, sales flyers, text, graphics, logos, images, button icons, audio clips, videos, photographs, data, music, software, and other materials (collectively "Content"), is the owned or licensed property of Seedling or its licensors. This Content is protected by copyright, trademark, patent, trade secret, or other proprietary rights, and these rights are valid and protected in all forms, media, and technologies existing now or hereinafter developed.
Seedling grants you a limited license to access and use the App and its Content for NONCOMMERCIAL PURPOSES ONLY, and only to the extent that such use does not violate these Terms & Conditions, including the restrictions outlined in the "Unlawful or Prohibited Uses" section below. You may download, print, and copy Content for personal, non-commercial purposes only, provided that you do not modify or alter the Content, remove any copyright or trademark notice, or violate these Terms & Conditions in any way. Any commercial use of the App or its Content, on behalf of yourself or any third party, is strictly prohibited and constitutes a material breach of these Terms & Conditions.
The Seedling name, logos, and related marks, design marks, product names, feature names, and related logos used on the App are trademarks of Seedling and may not be used, copied, or imitated, in whole or in part, without the express prior written permission of Seedling. Additionally, the overall look and feel of the App constitutes the service mark, trademark, and/or trade dress of Seedling and may not be copied, imitated, or used, in whole or in part, without the express prior written permission of Seedling. You may not use Seedling's trademarks or trade dress in any manner that could cause confusion among customers or imply an endorsement, sponsorship, or affiliation with Seedling.
The Seedling App may only be used for lawful purposes in accordance with the terms of the license granted in these Terms & Conditions. By using the App, you warrant that you will not engage in any activity that is unlawful or prohibited by these Terms & Conditions. Prohibited activities include, but are not limited to:
If you register with Seedling to access certain services or areas of the App, you are responsible for maintaining the confidentiality of your account and password. You agree to accept responsibility for all activities that occur under your account. Seedling reserves the right to terminate your account, refuse service, or cancel orders in its sole discretion.
If the App includes push notifications or other mobile communication capabilities, you consent to receive electronic communications directly to your mobile device. These notifications may include information about your order, such as confirmation, status, or delays. You can control the notifications you receive through your device settings.
Seedling may modify or discontinue any part of the App or offer opportunities to some or all users at any time. Seedling reserves the right to change these Terms & Conditions at any time, and your continued use of the App constitutes your acceptance of the current Terms & Conditions. Seedling may terminate your access to the App or block your future access for any reason, with or without notice, and without liability to you.
If the App allows you to submit User Content, such as reviews, comments, photos, videos, or other materials, you agree that any User Content you submit complies with these Terms & Conditions. You must ensure that your User Content is accurate, does not violate any law or regulation, and does not infringe on any third-party rights. Seedling reserves the right to monitor User Content, alter, remove, or refuse to post any User Content. By submitting User Content, you grant Seedling a non-exclusive, transferable, perpetual, royalty-free, worldwide license to use, display, perform, transmit, copy, modify, create derivative works from, and distribute the User Content. You also waive any moral rights or other rights related to attribution of authorship.
If the App includes healthcare or nutritional information, it is intended for educational purposes only and should not be considered medical advice. It does not substitute a medical examination or the need for services provided by medical professionals. Use your good judgment and reasonable care before making any lifestyle changes based on information from the App.
Your use of the App is voluntary, and you assume any associated risks. This includes potential physical injury or harm resulting from activities you undertake. By using the App, you agree to indemnify and release Seedling from any and all liabilities, costs, and expenses arising from your use of the App.
Under no circumstances shall Seedling Inc. or its employees, directors, officers, or agents be liable for any direct or indirect losses or damages arising from your use or inability to use the App. This includes, but is not limited to, general, special, consequential, incidental, exemplary, or other damages, such as loss of data, income, or profits. Each provision of these Terms & Conditions that limits liability, disclaims warranties, or excludes damages is essential to the agreement between you and Seedling.
You agree to defend, indemnify, and hold Seedling and its employees, directors, officers, agents, vendors, and suppliers harmless from any liabilities, losses, claims, suits, damages, costs, and expenses arising from your use of the App and any User Content you submit.
You consent to receive notices and communications from Seedling through the App, email, or mailing address provided in your account. Such communications will satisfy any legal requirement for written notice.
These Terms & Conditions constitute the entire agreement between you and Seedling concerning the App and supersede any prior communications. No provision of these Terms & Conditions shall be waived except in writing. If any provision is held invalid, the remaining provisions will remain in effect. You may not assign your rights or obligations under these Terms & Conditions without Seedling's written consent. Seedling is not liable for failure to fulfill obligations due to causes beyond its control.
